Please find attached a resolution to the code of conduct issue at Embarq. I think it is self explanatory but if you have questions, please advise. I would strongly suggest you make a copy of this document for your records so we do not have to fight this battle again.

Jimmy,

Attached is the note that I have sent out to the management team regarding the Code of Conduct Certification.  I hope it will eliminate the questions you are getting.  Let me know if you have any questions.  Feel free to distribute to your business managers and Presidents.

To:  Managers and Directors of Bargaining Employees

As you know a request went to all employees the first week of July to complete the Code of Conduct Certification Training online by September 30, 2008  We have received several inquiries from employees, supervisors, and the unions regarding the certification  requirement.  While all employees are required to understand and comply with company rules and expectations, historically, we have not required employees in a represented environment to sign or provide online acknowledgment that they have read and will comply with the Code.  The message sent to employees in early July required employees to complete the online acknowledgement and certification process, and this has presented a problem that needs to be addressed.

Early next week the Integrity team will be sending out instructions to you on a group enrollment process which will allow supervisors to conduct Code of Conduct Certification Training with their teams and then submit rosters of the attendees at those sessions to show completion.  This is the method we have used in the past to complete this type of training and will be the recommended approach for our field teams.  Please ask your supervisors to complete these training sessions promptly when they receive the instructions.

Although preferable, we will not require employees to complete the certification on line.  We do, however, need to ensure that all employees are provided this Code of Conduct refresher in a group meeting, and that each employee's attendance at such a meeting is documented.  Any employee that has already completed the online certification process but would like to have their online enrollment removed may contact their local HR Representative.  I apologize for the confusion on this roll-out, but ask your assistance in getting this message out to your supervisor teams and completing this training.

Please feel free to contact Talia Horton, Director Ethics and Compliance, or me if you have any questions
